Skaify Terms and Conditions

1. Acceptance of Terms
By creating an account, accessing, or using the Skaify application (the "App", available on the App Store and Google Play), the website skaify.com, or any related service (collectively, the "Service"), you agree to be bound by these Terms and Conditions (the "Terms"). If you do not agree to any part of these Terms, you must not use the Service.
2. What Skaify Is and What It Offers
Skaify is an artificial intelligence assistant that provides personalized recommendations for places, activities, and events in participating cities (currently Mexico City and New York), combining information provided by the user, data from partner businesses, and third-party information such as Google Maps Platform. To provide certain discovery, maps, places, events and navigation features, Skaify uses third-party services, as explained in section 11.
Skaify also allows businesses and organizers to create profiles, publish events, and update real-time information about their establishment (occupancy, promotions, hours, among others).
3. Rules of Use
When using the Service, you agree not to:
3.1 Community Rules
Before you send your first message or upload your first photo, the app shows you the community rules and asks you to accept them. We record that you accepted them and which version; if they change, we will show them to you again. They apply to everything you do in front of other people on Skaify:
If someone breaks these rules or those in section 3, we may hide or remove what they posted and suspend or close their account. Anything involving minors, or a risk to someone's life or safety, we may report to the authorities.
4. Minimum Age
The Service is intended for individuals 18 years of age or older. By using the Service, you represent and warrant that you are at least 18 years old.
If you access the Service from the United States, the required minimum age is 21, given that Skaify recommends establishments and events related to nightlife and alcohol consumption. Skaify does not knowingly collect information from individuals under the applicable minimum age in each jurisdiction.
5. Accounts and Security
To use most features of the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
There are two account types: User (consumer) accounts and Business/Organizer accounts, each with its own registration flow and features.
6. Subscriptions, Payments, and Automatic Renewal
At launch, certain features of the Service may be offered free of charge. Skaify reserves the right to introduce paid subscriptions in the future as described below, which will be communicated to users in advance.

Paid subscriptions renew automatically at the end of each period (monthly or annual), and the corresponding charge will be applied to your registered payment method, unless you cancel before the renewal date. The same principle applies at the end of the free trial week: the first automatic charge will be processed unless canceled beforehand.
6.4 Cancellations and Refunds
You may cancel your subscription at any time from the subscription management section within your profile. Cancellation will take effect at the end of the current billing period. Unless applicable law states otherwise, no refunds are issued for partial billing periods already charged.
6.5 Payment Processing
All payments are processed by Stripe, Inc. Skaify does not store or have direct access to your complete payment card data.
7. User Generated Content
The Service allows users to post reviews, ratings, photographs, statuses, plans, messages, and other content ("User Content"). By posting User Content, you grant Skaify a non-exclusive license to display such content within the Service.
Skaify reserves the right to moderate, hide, or remove User Content it deems offensive, false, or in violation of these Terms, whether automatically, through manual review, or based on reports from businesses or other users.
7.1 Rights over what you upload and your responsibility
The Service lets you upload photographs and, where applicable, video, audio, PDF documents, and other files. The following applies to all of that material:
7.2 Copyright notice and takedown
If you believe that content published on the Service infringes your copyright or the copyright of someone you represent, write to hola@skaify.com with the subject "Takedown notice" and include:
Upon receiving a complete notice we will remove or disable access to the identified content as promptly as reasonably possible, and we will notify whoever posted it.
If your content was removed and you believe the notice was mistaken or that you are entitled to publish it, you may send us a counter notice at the same address explaining why. We will review it and, where appropriate, restore the content.
We will terminate the accounts of repeat copyright infringers.
7.3 Reports, How We Review Them, and How You Can Respond
You can report a person, a message, a photo, a status, a plan, a review, an event or an alert from within the app, and block anyone. Reporting is silent: we do not tell anyone who reported them. Before being stored, messages, statuses and photo captions go through an automatic filter that rejects, or hides for a person to review, what looks clearly prohibited. After three reports from different people, a message or a status is automatically hidden while we review it, and a photo after two.
A person at Skaify reviews reports within the following 24 hours. If we remove something of yours or restrict your account, we will tell you by email what we removed and why, and you can respond by writing to hola@skaify.com; if we agree with you, we will put it back. If you reported something and want to know what we decided, write to us at the same address.
The community map is also content written by people. You can place pins on the map, add photos to them, write updates and leave ratings and reviews on other people's pins, and anyone with an account can do the same. All of that text goes through the same automatic filter before it is stored, and anyone can report a pin, a photo, an update or a review, and block whoever wrote it: with three reports from different people the pin is hidden while we review it, and with two if it has photos. Whatever is reported is reviewed by a person at Skaify, with the same deadlines and the same right of reply as the rest of this section.
7.4 Meeting People in Person
Skaify helps you meet up in person with your friends and, if you choose, with people you do not know. Skaify is not a dating app. Skaify does not verify anyone's identity, stated age or background, and is not present at meetups: deciding to meet, going, and how each person behaves is each person's decision and responsibility. We recommend meeting in public places, letting someone you trust know, and leaving if something does not feel right. The features for meeting new people are only for people who meet the minimum age in section 4.
8. AI-Generated Recommendations
Skaify uses artificial intelligence to generate personalized recommendations within the assistant conversation. It is important that you understand the following:
To state it expressly and beyond any doubt: Skaify is an artificial intelligence product. Chat replies, daily plans, and recommendations are generated automatically by a language model and are not written by a person. The Privacy Policy explains what information is sent to the model provider in order to generate them.
Skaify tells you inside the chat, before you start typing, that you are talking to an artificial intelligence system.
9. Calorie and Exercise Informational Feature (Paid Tier Only)
Skaify may optionally offer an informational estimate of daily caloric needs based on information voluntarily provided by the user (weight, height, age, sex, activity level), using standard industry formulas (Mifflin-St Jeor).
This feature is purely informational and estimative. Skaify is not a certified nutritionist, physician, or fitness trainer, and this information does not constitute professional medical, nutritional, or fitness advice. The user is solely responsible for any decisions made regarding diet or exercise. Consulting a healthcare professional before making significant changes to diet or exercise routine is recommended.
10. Place Recommendations and Third Parties
Recommendations provided by Skaify, whether through partner businesses or information obtained from third parties such as Google Maps Platform or Ticketmaster, are informational in nature. Skaify does not guarantee availability, prices, punctuality, or that third-party information is always accurate or up to date, and is not responsible for the user's experience at recommended places or events.
Skaify does not sell tickets. Events marked as Ticketmaster events belong to their organizers and are sold on Ticketmaster; the purchase, date changes, cancellations and refunds are between you, Ticketmaster and the organizer. Skaify does not charge you for showing you these events.
Skaify partner places have their own rating inside Skaify, which starts at five stars and moves with the ratings users leave. It is independent of any rating the place may have on Google or other services, which is shown separately and with its source indicated.
11. Third Party Services
Skaify uses third-party services to operate and to provide certain discovery, maps, places, events and navigation features, including: Supabase (data hosting), Anthropic (chat message processing via artificial intelligence), Google Maps Platform (maps, place search and information, and travel times), Ticketmaster (ticketed event information), Stripe and RevenueCat (payments and subscriptions), Resend (email delivery), Expo (app notifications and updates) and Vercel (hosting of the website and the business dashboard). Information that comes from these third parties, such as Google Maps place data or Ticketmaster events, belongs to them and not to Skaify. Use of these services is also subject to each provider's own terms and policies.
11.1 Google Maps
The Skaify app includes Google Maps features and content. Your use of Google Maps features and content is subject to the then-current versions of the Google Maps End User Additional Terms of Service (https://maps.google.com/help/terms_maps/) and the Google Privacy Policy (https://policies.google.com/privacy). Google Maps information is shown with the attribution Google specifies. If you breach those terms, we may suspend or terminate your access to Google Maps features and content within Skaify.
11.2 Ticketmaster
The event information Skaify shows under the Ticketmaster brand comes from the Ticketmaster Discovery API. Ticketmaster and its brands are the property of their respective owners and their use here does not imply that Ticketmaster sponsors or endorses Skaify. When you open an event page on Ticketmaster, your use of that site is subject to Ticketmaster's terms of use and privacy policy.
12. Intellectual Property
All content, design, branding, and technology of the Service are owned by Skaify or its licensors, and are protected by applicable intellectual property laws.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Skaify shall not be liable for indirect, incidental, special, or consequential damages resulting from the use or inability to use the Service. In particular, Skaify does not guarantee the availability, prices, or punctuality of recommended establishments, events, or activities, nor that third-party information displayed in the Service is always accurate, including decisions made based on AI-generated recommendations or nutritional information provided by the App.
14. Modifications to the Service
Skaify reserves the right to modify, suspend, or discontinue any feature of the Service at any time, with or without prior notice, including the introduction of new paid features.
15. Account Termination
Skaify reserves the right to suspend or terminate your access to the Service, with or without prior notice, in the event of a breach of these Terms. You may also request the deletion of your account and your data at any time from your profile settings, or by contacting us directly.
16. Changes to These Terms
Skaify may update these Terms at any time. Significant changes will be notified through the Service. Continued use of the Service after such changes constitutes acceptance of the new Terms.
17. Governing Law and Dispute Resolution
17.1 Governing law
These Terms are governed by the laws of the State of Delaware, United States of America, without giving effect to its conflict of laws rules. This does not deprive you of the protection afforded by the mandatory consumer law provisions of the country where you reside.
17.2 We talk first
Before starting any formal proceeding, we ask you to write to hola@skaify.com describing the problem and what you are looking for. We commit to responding and trying to resolve it in good faith within sixty (60) calendar days. Most disagreements are resolved this way, and this step is a precondition for both parties.
17.3 Arbitration
If the disagreement is not resolved within that period, any dispute arising out of these Terms or your use of the Service will be finally resolved by individual, binding arbitration, administered by a recognized arbitration body under its rules then in effect. The arbitration will be conducted by a single arbitrator, in Spanish or English at the election of the party starting the proceeding, and may be conducted in writing or by videoconference.
The award will be final and may be enforced in any court of competent jurisdiction.
17.4 Exceptions
Arbitration does not apply and you may go directly to court in the following cases:
If you reside in Mexico, you fully retain your right to go to the Procuraduría Federal del Consumidor. Nothing in this clause limits or waives the rights granted to you as a consumer by the Ley Federal de Protección al Consumidor.
17.5 Class action waiver
To the extent permitted by applicable law, disputes will be resolved only on an individual basis. Neither you nor Skaify may consolidate claims or take part in a class, collective, or representative action. If this waiver is found invalid or unenforceable as to any claim, that specific claim will be severed from arbitration and resolved in the competent courts, and the rest of this section will remain in effect.
17.6 How to opt out of arbitration
You may opt out of sections 17.3 and 17.5 by writing to hola@skaify.com within thirty (30) calendar days of the date you first accepted these Terms, stating your name and that you wish to opt out of arbitration. Opting out has no effect on your account or your use of the Service, and we will not take it into account in any decision about you.
